Welcome to Validity Worldwide, Inc. (“Validity Worldwide,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our products, software development kits (SDKs), smart contracts, applications, websites, and services that enable authenticated, real-time wallet-based identity verification across digital ecosystems (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.
1. Service Overview
Validity Worldwide provides decentralized identity services that authenticate and verify digital wallets, users, and interactions before a transaction or connection occurs. Our Services may include, but are not limited to:
• Wallet-based authentication and verification
• Fraud-prevention analytics
• Identity attestation and credential signals from partners
• Secure integrations via SDKs, APIs, and smart contracts
• Apps and dashboards for identity management and monitoring
VALid™ is a reusable identity credential that is portable across supported wallets, blockchains, and digital ecosystems.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services. By using the Services, you represent and warrant that you meet these eligibility requirements.
Organizations accessing the Services represent they have the authority to bind the entity they represent.
3. User Responsibilities
You agree to:
• Provide accurate, current, and lawful information
• Maintain control and security of your wallet and credentials
• Use the Services only for legitimate, authorized purposes
You must not:
• Use the Services to engage in fraud, deception, or illicit activity
• Submit false credentials
• Copy, disassemble, reverse-engineer, or interfere with any part of the Services
• Violate or infringe upon the rights of others, including data privacy
4. Third-Party Services and Integrations
The Services may interact with:
• Blockchain networks
• Wallet providers and protocols
• Third-party identity and fraud-prevention providers
Your use of these third-party services may be subject to their own terms and policies. We are not responsible for their performance, availability, or data practices.
5. Data Privacy and Security
We prioritize privacy, user consent, and decentralized control. Our Privacy Policy explains:
• What data we process
• How long we retain information
• How we protect user and wallet-based identity
By using the Services, you consent to the practices described in our Privacy Policy. While we implement safeguards, no system is impenetrable or risk-free.
6. Advertising and Promotions
Use of Advertising — We may provide sponsored or promotional content within some Services.
Targeted Advertising — We may use permitted behavioral and transactional signals to improve relevance under our Privacy Policy.
Third-Party Advertisers — We are not responsible for external ad content or policies.
Data Usage — Subject to opt-out rights where required by law.
User Controls — You may manage advertising preferences via device or platform tools.
Updates — Advertising functionality may change at any time.
7. Fees and Payment
Some Services or enterprise features may require payment. You agree to pay all applicable fees and taxes. Pricing may change with reasonable prior notice.
Failure to pay may result in suspension or termination of access.
8. Intellectual Property
Validity Worldwide retains ownership of all:
• Software, SDKs, smart contracts, and source code
• Branding, logos, and trademarks
• Documentation, trust scoring logic, and analytics
No rights are granted except those explicitly set forth in these Terms. You may not create derivative products without our express written consent.
9. Disclaimers
The Services are provided “as is” and “as available”.
We disclaim all warranties, including:
• Accuracy or completeness of information provided
• Continuous or error-free Services
• Fitness for a particular purpose
• Interoperability with any blockchain or wallet provider
Availability may be impacted by third-party outages (wallets, nodes, networks).
10. Limitation of Liability
To the fullest extent permitted by law, Validity Worldwide and its affiliates will not be liable for:
• Indirect, incidental, or consequential damages
• Loss of revenue, profit, goodwill, or data
• Decisions made based on verification outcomes
Our total liability will not exceed the greater of: (a) the amount paid for the Service in the prior 12 months, or (b) USD $100.
11. Termination
We may suspend or terminate access at any time with or without cause. Upon termination:
• You must cease using the Services
• Certain provisions (including IP, disclaimers, liability limits) survive termination
We may restrict access to protect users and ecosystem trust.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Legal claims must be brought in the state or federal courts located in New York, NY.
13. Modifications to Terms
We may update these Terms periodically. When revised, the “Last Updated” date will be changed. Your continued use of the Services constitutes acceptance of updated Terms.
